Microsoft has acquired Nokia, concerning the mobile phone, Lumia, and maps sectors.
The official announcement has arrived: Microsoft has acquired Nokia.
The agreement reached by the two companies in recent years has evolved in recent days, leading to the formalization of Nokia’s acquisition by the Redmond-based company.
Specifically, the division sold is Device and Services, which includes mobile phones, Nokia Smart Devices – therefore encompassing Lumia devices – and maps.
As is customary in such cases, the agreement requires the upcoming approval of shareholders and subsequent review by the relevant government bodies. However, it is anticipated that the entire process could be successfully concluded within the first quarter of 2014.
In addition to products and patents, Nokia’s human capital – its employees – will also be integrated into Microsoft, including those working in Finland. The latter group comprises approximately 4700 individuals, while another 18,300 employees are located worldwide.
Microsoft has specified that the base for the new data center for the European division will be located in Finland.
The press release issued to announce this acquisition emphasizes that Microsoft will acquire the Asha brand and obtain a license for the Nokia brand, while Nokia itself will continue to manage its corporate brand. Furthermore, “Nokia will retain its patent portfolio and will grant Microsoft a 10-year license for its patents“.
Regarding the financial aspects of this transaction, the deal involves an outlay of approximately 5.44 billion euros from Microsoft. Additionally, the Redmond-based company has committed to an immediate financing of Nokia with 1.5 billion euros, to be paid in three installments of 500 million euros each, in the form of bonds.
Final approval is awaited in the coming months, but the acquisition can already be confirmed, at least by the two companies involved.
